@Securities exchanges across the country including the Tokyo Stock Exchange announced "Action Plan for Consolidating Trading Units " aiming to standardize the trading unit for common shares for all listed companies in Japan at 100 shares per unit. This measure is intended to improve the convenience of investors and other market users, which is why the Group made a decision to change its trading unit to 100 shares. In addition, aiming to ensure that the share unit value of the Group's shares is within the security exchangesf preferred investment unit level (at least 50,000 yen and less than 500,000 yen), the Group has decided to carry out the share consolidation (every ten shares consolidated into one share).


@The number of shares held by shareholders after share consolidation will be the number of shares registered in the final shareholder list on September 30, 2015 multiplied by 1/10 (any fractions less than one share resulting therefrom shall be rounded down.) Moreover, after stock consolidation, the number of shares constituting one voting right shall be 100 shares. Specifically, before and after the effective date of stock consolidation and revision of the number of shares constituting one unit, number of shares held and number of voting rights shall be as follows.



@In cases where fractional shares less than one share are created as a result of the share consolidation (as in examples (2) to (4) in the above table), the Group will dispose of all of such shares together and pay the proceeds to shareholders in proportion to the respective numbers of fractional shares they hold. The Group plans to send payments of these proceeds (the amount for disposal of fractional shares) around August 2015.


@Furthermore, before the stock consolidation, shareholders can also use the additional purchase program or the buyback program to avoid disposal of fractional shares. In cases where the number of shares owned before the effective date is fewer than 10 (as in example (4) in the above table), all shares held will become fractional shares in the share consolidation and the owners of such shares will lose their status as shareholders of the Company.
